1.   ACCEPTANCE AND MODIFICATIONS

Amazon.com Services, Inc. ("Amazon," "we," "us," and "our") provides this Amazon Enterprise Access extension (the "Application") to authorized users who have been approved by Amazon to use the Application ("you" and "your"), subject to these Terms of Use (these "Terms"). These Terms establish the terms and conditions applicable to your use of the Application. Unless explicitly stated otherwise, any new features that augment or enhance the Application shall be subject to these Terms. Your breach of any of these Terms causes an automatic termination of the rights and licenses granted to you under these Terms.

IF YOU ARE NOT AUTHORIZED BY AMAZON TO USE THE APPLICATION, OR IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS, YOU MAY NOT USE, ACCESS, DOWNLOAD, SAVE, OR OTHERWISE ENGAGE WITH THE APPLICATION AND YOU MUST IMMEDIATELY DELETE THE APPLICATION FROM ALL SYSTEMS WITHIN YOUR CONTROL.

We may change these Terms from time to time for any reason with or without notice. If you do not agree with the new version, you must immediately stop using the Application.

2.   OUR PROPRIETARY RIGHTS

We or our licensors own all intellectual property and proprietary rights, title, and interest in and to the Application. Except for the limited use rights granted to you in these Terms, you agree that you do not have and will not acquire any right, title, or interest in any of our intellectual property or other proprietary rights. Any rights not expressly granted in these Terms are expressly reserved. The Application uses certain third-party software as described here.

3.   USE OF THE APPLICATION

If you are authorized by Amazon to use the Application, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the Application solely in connection with providing services to Amazon in accordance with these Terms. Except as expressly permitted in these Terms, you may not use, reproduce, distribute, create derivative works based upon, publicly display, publicly perform, publish, transmit, or otherwise exploit the Application for any purpose whatsoever without obtaining prior written consent from us or, in the case of licensed content, its respective owner.

4.   DISCLAIMER; LIMITATION OF LIABILITY

THE APPLICATION IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. IN NO EVENT SHALL AMAZON BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY WHATSOEVER, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE APPLICATION OR THE USE THEREOF.
